Terms of Service

Introduction
These Terms of Service ("Terms") govern access to and use of PingBase (the "Service"), operated by PingBase ("PingBase," "we," "us," or "our").
By creating an account, accessing, or using the Service, you agree to these Terms on behalf of your organization. If you do not agree, do not use the Service. PingBase provides business-to-business software only.

1. Accounts and Access
You are responsible for:
- All activity under your organization's account
- Managing authorized users and their roles
- Keeping login credentials and API keys secure
- Ensuring users comply with these Terms
You may not share accounts across organizations.
We may suspend or restrict access for violations, abuse, or non-payment.
2. Acceptable Use
You agree not to:
- Attempt unauthorized access to other accounts or tenants
- Reverse engineer, copy, or exploit the Service
- Disrupt or overload the Service
- Use the Service for illegal activity
- Upload or link to malicious or harmful content
We may suspend or terminate accounts that violate these Terms. See our full Acceptable Use Policy.
3. Customer Data, Confidentiality, and Data Processing
You retain ownership of all data submitted to the Service ("Customer Data"), including monitor configurations, check results, and incident records.
You grant PingBase a limited license to process Customer Data solely to operate and provide the Service.
We implement reasonable safeguards appropriate to a multi-tenant SaaS platform. Security is a shared responsibility.
Each party agrees to protect the other's non-public confidential information using reasonable care.
GDPR: Data Processor Role
Where GDPR or equivalent data protection law applies, PingBase processes Customer Data as a data processor on behalf of the Customer (data controller). Processing is governed by our Privacy Policy and, where applicable, a Data Processing Addendum (DPA).
Customers may request a DPA incorporating Standard Contractual Clauses (SCCs) by contacting [email protected].
4. Fees and Billing
If you subscribe to a paid plan:
- Fees are billed monthly unless otherwise agreed.
- Payment is due upon invoice or automatic charge.
- Fees are non-refundable except as required by law.
- We may suspend access for non-payment.
- You are responsible for applicable taxes.
5. Founding 500 Pricing
PingBase offers 500 "Founding Member" subscriptions at the launch price of $15/month unlimited. Founding Members are eligible for price-lock terms as described below.
Price Lock
Founding Members lock the $15/month rate for the lifetime of the subscription, provided the subscription remains active.
Cancellation and Resubscription
If a Founding Member cancels their subscription and later resubscribes, the Founding Member price lock is forfeited. The resubscription will be billed at the then-current published rate.
Availability
Founding Spots are limited to 500 and available on a first-come, first-served basis. PingBase reserves the right to close the Founding Member program once all spots have been claimed.
6. Intellectual Property
PingBase owns all rights, title, and interest in:
- The Service and software platform
- Enhancements, improvements, and derivative works
- Aggregated, anonymized analytics
- Feedback you provide
These Terms do not create a work-for-hire relationship and do not transfer ownership of the platform to you.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
We do not guarantee uninterrupted availability or that the Service will meet all requirements.
We disclaim all implied warranties, including merchantability and fitness for a particular purpose.
8. Limitation of Liability
To the maximum extent permitted by law:
PingBase's total liability arising out of or related to the Service will not exceed the fees paid by your organization in the 12 months preceding the claim.
PingBase is not liable for indirect, incidental, consequential, special, punitive, or lost-profit damages.
These limitations apply regardless of the legal theory asserted.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable data protection law, including liability under Article 82 of the GDPR.
9. Indemnification
Your organization agrees to indemnify and defend PingBase against third-party claims arising from:
- Your misuse of the Service
- Violation of law
- Content or data you submit that infringes third-party rights
Our total indemnification exposure remains subject to the liability cap above.
10. Termination
You may cancel your subscription at any time. Access continues through the end of the paid billing period.
You may delete your account and all data via Settings at any time.
We may suspend or terminate access for non-payment, material breach, or abuse.
Upon termination, access ends. You may request export of Customer Data within a reasonable period.
11. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania.
Exclusive venue for disputes is in state or federal courts located in Pennsylvania.
12. Changes to Terms
We may update these Terms from time to time.
Continued use of the Service after updates constitutes acceptance.
